These Terms of Service (“Terms”) govern your access to and use of the services provided by VELOCITYSERVERS LTD (Company No. 15965072) (“VelocityServers”, “we”, “us”, “our”), including any websites, client portal, billing system, support channels, and hosting-related products or services (collectively, the “Services”). By creating an account, placing an order, or using the Services, you agree to these Terms.
1. Definitions
- Customer / You: The individual or legal entity using the Services.
- Account: Your client portal account used for ordering, billing and support.
- Order: Any purchase, subscription, renewal, upgrade, downgrade or add-on.
- Content: Data, files, code, emails, websites, applications, and other materials you store, process, or transmit via the Services.
2. Eligibility and Account Registration
You must be legally capable of entering into a binding agreement. You are responsible for ensuring that your account information is accurate and kept up to date, including billing and contact details. You are responsible for all activity under your account, including actions taken by authorised users.
3. Service Provision and Changes
We will provide the Services in accordance with your Order and our operational policies. We may update, modify, or discontinue parts of the Services to maintain security, compliance, or service quality. Where practical, we will provide notice of material changes.
4. Acceptable Use
You agree not to use the Services for unlawful, harmful, or abusive activities, including (but not limited to):
- Malware, phishing, fraud, credential harvesting, unauthorised access, or denial-of-service activity
- Hosting or distributing content that infringes intellectual property rights
- Spam or unsolicited bulk messaging, or operating open relays/proxies for abuse
- Activities that violate applicable law or third-party rights
We may suspend or terminate Services immediately where we reasonably believe there is a security risk, legal exposure, or breach of these Terms.
5. Customer Responsibilities
You are solely responsible for:
- Your Content, and ensuring you have all rights to use it
- Configuration, updates, and security of applications you deploy (e.g., CMS, plugins, scripts)
- Maintaining secure credentials and enabling appropriate security controls (e.g., strong passwords, MFA where available)
- Backup practices appropriate for your use case (see Section 8)
6. Billing, Payments, Renewals
- Billing Cycle: Services are billed in advance unless stated otherwise.
- Renewals: Subscriptions may renew automatically. You are responsible for ensuring valid payment details are on file.
- Late/Failed Payments: If payment fails, we may suspend Services after reasonable attempts to collect payment. Fees may still accrue during suspension depending on the service type.
- Taxes: Prices may exclude applicable taxes unless explicitly stated.
7. Cancellations and Refunds
You may cancel via the client portal. Unless a specific product page or order states otherwise:
- Setup fees and certain usage-based charges are non-refundable.
- Refund eligibility (if any) is assessed based on service type and usage.
- Domain registrations, third-party licences, and external services are typically non-refundable once provisioned.
8. Backups and Data Retention
Unless explicitly included in your Order, backups are provided on a best-effort basis and are not guaranteed. You remain responsible for maintaining independent backups. Upon cancellation or termination, data may be deleted after a retention period determined by operational constraints and legal obligations.
9. Uptime and Support
We aim to provide reliable services, but uninterrupted operation is not guaranteed. Planned maintenance may be required. Support is provided via the client portal and email: support@velocityservers.co. Response times may vary depending on severity and subscription level.
10. Suspension and Termination
We may suspend or terminate Services if:
- You breach these Terms or Acceptable Use
- Your use creates risk to our infrastructure, other customers, or third parties
- We are required to do so by law, regulation, or a competent authority
- Fraud, chargebacks, or payment disputes occur
Where feasible, we will provide notice and an opportunity to cure the breach, except in urgent/security cases.
11. Intellectual Property
We retain all rights in our Services, platform, branding, and documentation. You retain rights in your Content. You grant us a limited licence to process your Content solely to provide and maintain the Services.
12. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits/revenue, business interruption, or loss of data.
- Our total liability for any claim relating to the Services is limited to the amount you paid us for the affected Service during the 3 months immediately preceding the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses arising from your Content, your use of the Services, or your breach of these Terms.
14. Privacy
Our processing of personal data is governed by the Privacy Policy published in the client portal.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable to our place of establishment, unless mandatory consumer protections require otherwise. Where disputes arise, both parties will attempt in good faith to resolve them before commencing formal proceedings.
